Terms of Service

By accessing or using the website and services of Khenda, Inc. ("Khenda", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Khenda provides a data infrastructure platform for Physical AI. Our services include processing customer-provided operational video to generate structured training datasets for humanoid robots, and providing performance validation tools for humanoid deployment. Specific service details are outlined in individual customer agreements.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

If you create an account or submit information through our platform, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate and complete information.

• Customer Data Ownership: all video, operational data, and other materials you upload to Khenda remain your property. Khenda does not claim ownership over any customer data.
• Generated Datasets: datasets generated by Khenda from your video are delivered to you under the terms of your service agreement. Khenda does not retain, resell, or redistribute your generated datasets without your explicit written consent.
• Khenda IP: the platform, algorithms, models, software, and all related intellectual property are and remain the property of Khenda, Inc.

You agree not to:

• Use our services for any unlawful purpose.
• Upload content that infringes on third-party intellectual property rights.
• Attempt to reverse-engineer, decompile, or disassemble any part of our platform.
• Interfere with the security or operation of our services.
• Resell or redistribute access to our platform without authorization.

Both parties agree to treat confidential information received from the other party with the same level of care they apply to their own confidential information. Customer video and operational data are treated as confidential by default.

We strive to maintain high availability of our platform but do not guarantee uninterrupted access. We may perform scheduled maintenance and will provide reasonable advance notice when possible. We are not liable for service interruptions caused by factors beyond our reasonable control.

Payment terms, pricing, and billing details are specified in your individual service agreement or order form. All fees are non-refundable unless otherwise stated in your agreement.

To the maximum extent permitted by law, Khenda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the amounts paid by you to Khenda in the twelve months preceding the claim.

You agree to indemnify and hold harmless Khenda, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Either party may terminate the service relationship as specified in the applicable service agreement. Upon termination, Khenda will delete or return your data in accordance with the terms of your agreement, unless retention is required by law.

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of laws provisions.

Any disputes arising from these Terms will be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in Ann Arbor, Michigan, under the rules of the American Arbitration Association.

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
